1. Account registration
A plamup user refers to a person who opens an account on plamup by registering an account on the plamup website (registered user) or filling in personal information (user). Please read these Terms of Use carefully before using plamup services. If you do not agree to these Terms of Use (unless otherwise specified below, "Terms of Use" include any amendments made to these Terms of Use from time to time), please immediately stop using all services provided by plamup; once you register an account or fill in personal information and become a plamup user, it means that you have understood and fully agreed to the contents of these Terms of Use and any amendments made to the Terms of Use at any time. To use plamup Services, you understand and agree to the following: You must fill in your real name, registered email address and password in accordance with the registration prompts, and provide true personal information (including relevant personal details). plamup services are not provided to minors under the age of 18 or users who have been suspended or terminated by plamup for any reasonable reason.
2. Services and fees
plamup provides the transferee with a professional platform for equity investment and equity transfer in star enterprises. We aim to help investors connect with high-quality projects through our professional services. plamup currently provides users with services via the Internet, such as online investment transactions (including PC and mobile terminals). Unless otherwise explicitly stated, any new functions added or optimized for plamup services in the future (including newly launched products) shall be governed by these Terms of Use.
You agree and understand that plamup services are provided solely in their current state. plamup shall not be liable for any issues related to the timeliness of user communications or personalized settings, information deletion, transmission errors, non-storage, or any other relevant matters. plamup reserves the right to suspend part of the platform's services for maintenance, upgrades, or other legitimate purposes without prior notice.
To use "plamup Services", you shall independently engage a third-party Internet access service provider with legal qualifications and bear the relevant service fees yourself; at the same time, you shall independently prepare and be responsible for all necessary equipment related to international network access, including computers, modems, or other access devices.
The ownership of plamup's domain name, user accounts, and user space belongs to plamup, and users only have the right to use them with authorization. plamup will provide users with services such as transactions and information inquiry, and during the service process, will collect necessary service or management fees in accordance with relevant documents, agreements, and/or rules and instructions on the platform pages. For specific details such as the content, proportion, and amount of the fees, please refer to the relevant documents and the rules and instructions on the corresponding pages of the platform (including but not limited to: for each successfully transferred equity income right and digital income certificate, the platform has the right to collect a certain proportion of transfer management fees as service fees based on the transfer amount; the specific proportion and amount shall be subject to the relevant rules and instructions of plamup). You agree that plamup has the right to adjust specific matters such as the type and amount of the aforementioned service or management fees from time to time according to actual circumstances, and make announcements and modifications in accordance with this Agreement and relevant rules.
3. User behavior
3.1
When using plamup services, users must comply with the relevant laws and regulations of the People's Republic of China. Users agree not to use plamup services for any illegal or improper activities, including but not limited to not uploading, displaying, posting, disseminating, or transmitting information containing any of the following contents in any other way:
1) Opposing the basic principles established by the Constitution;
2) Endangering national security, leaking state secrets, subverting state power, or undermining national unity;
3) Damaging national honor and interests;
4) Inciting ethnic hatred or discrimination, or undermining ethnic unity;
5) Undermining the state's religious policies, or promoting cults and feudal superstitions;
6) Spreading rumors, disrupting social order, or undermining social stability;
7) Spreading obscene, pornographic, gambling, violent, homicidal, or terrorist content, or abetting crimes;
8) Insulting or defaming others, or infringing upon the legitimate rights and interests of others;
9) Containing false, harmful, coercive, privacy-infringing, harassing, defamatory, vulgar, obscene, or other morally objectionable content;
10) Containing other contents restricted or prohibited by Chinese laws, regulations, rules, ordinances, and any legally binding norms;
11) Using the network service system for any illegal purpose.
3.2
Users shall not use plamup services to engage in the following activities:
1) Unauthorized access to computer information networks or use of computer information network resources;
2) Unauthorized deletion, modification, or addition of computer information network functions;
3) Unauthorized deletion, modification, or addition of data and applications stored, processed, or transmitted in computer information networks;
4) Intentionally creating or spreading computer viruses and other destructive programs;
5) Other activities that endanger the security of computer information networks.
If a user violates any of the above provisions when using the network services, plamup or its authorized parties have the right to request the user to make corrections, or directly take all necessary measures (including but not limited to modifying or deleting the content posted by the user, suspending or terminating the user's right to use the network services) to mitigate and eliminate the impact caused by the user's improper behavior.
Users shall not copy, reproduce, sell, resell, or use any part of plamup services or any information obtained in the course of using the services for any other commercial purposes.
Users shall bear full legal responsibility for their actions in the course of using plamup services. The forms of legal responsibility borne by users include but are not limited to: compensating the infringed party; if plamup first bears administrative penalties or tort liability compensation due to the user's actions, the user shall pay equivalent compensation to plamup and bear the costs incurred by the platform (including but not limited to attorney fees, etc.).
4. Dealing with advertisers and other third parties
Any form of communication, business transactions, or participation in relevant promotional activities (including payment and delivery of relevant goods or services, and any other terms, conditions, warranties, or representations reached) between you and advertisers and other third parties that place advertisements on the platform through the plamup website are independent acts between you and the advertisers and other third parties. plamup shall not be liable for any losses or damages of any nature suffered by you as a result of any of the aforementioned transactions or the actions of the aforementioned advertisers and other third parties.
5. Exclusive rights of plamup users
Once you become a plamup user, you shall have the following rights:
1) During the use of plamup services, if you have any questions to consult or problems to solve, you have the right to request assistance from plamup's customer service personnel at any time;
2) If you have any opinions or suggestions on the development of plamup, you have the right to feedback to plamup at any time to jointly promote the optimization and upgrading of the platform;
3) If you find any illegal, false, or other inappropriate content on plamup, you have the right to report and complain to plamup's official account at any time.
6. Exclusive rights of plamup
To better serve users, plamup has the following rights:
1) With the user's permission, the right to send information related to the website, account, user space, and services to users via email, magazines, etc.;
2) The right to classify and grade different users, and open different permissions to users according to their categories or grades;
3) On the premise of not disclosing the private information of individual users, the right to analyze the overall user database, publish the analysis results, and make commercial use of the user database;
4) The right to select publicly released projects and recommend them to the transferee.
Important Reminder: Trading in plamup assets involves certain risks and is not suitable for most people. You should fully understand and acknowledge that such investments may result in partial losses, and therefore you need to determine the investment amount based on your own risk tolerance. You also understand that transactions related to plamup may give rise to derivative risks; if you have any questions, it is recommended to first consult the professional opinions of a financial advisor.
7. Risk Disclosure and Disclaimer
7.1 Risk Disclosure
You acknowledge and agree that you shall bear all risks arising from the use of the plamup platform and the acceptance of plamup services. Any information provided by the plamup platform (including but not limited to news, market data, recommendation data, etc.) does not guarantee its accuracy, timeliness, and reliability, nor does it constitute any investment advice.
7.2 Disclaimer
You acknowledge and agree that plamup does not guarantee that the provided services will not be interrupted or completely accurate; you shall bear full responsibility for all consequences arising from your use of plamup services, and plamup shall not be liable to you for any liability.
8. Market Data Disclaimer
Hong Kong Stock Exchange, US Stock Exchange, and China Connect market data are provided by Refinitiv; Refinitiv Limited, "Hong Kong Exchanges and Clearing Limited, its holding companies and/or any subsidiaries of such holding companies", "Nasdaq, Inc. and its affiliates", "OTC Markets Group Inc.", and "OPRA" all strive to ensure the accuracy and reliability of the information provided, but cannot guarantee its absolute accuracy and reliability, and shall not be liable for any losses or damages arising from any inaccuracies or omissions (whether such liability is based on tort, contract, or other legal relationships).
Important Notice: Checking this Agreement indicates that you agree to enter into this Agreement electronically, and you have read and agreed to the relevant terms and conditions of the exchange; if you do not agree, you will not be able to receive the relevant data.
This Agreement incorporates all the terms of the "Market Data Subscriber Agreement", and the relevant content shall be subject to the English version.
